1. Agreement and operator

These Terms of Use are an agreement between you and 深圳市生命律动科技有限公司 (Shenzhen Life Rhythm Technology Co., Ltd.), also known as Vital Rhythm.AI, regarding OVALO. By accessing or using the website or product, you agree to these terms and our Privacy Policy. If you do not agree, do not use the service.

本使用条款由您与深圳市生命律动科技有限公司（Vital Rhythm.AI）就 OVALO 产品订立。使用服务即表示您同意本条款及隐私政策。

2. Eligibility and accounts

You must be legally able to agree to these terms. Users who are below the age required by local law must use the service with a parent or legal guardian's authorization. You are responsible for accurate account information, protecting credentials and activity under your account. Notify us promptly if you suspect unauthorized access.

3. Your training content

You retain ownership of videos, images, audio, profile information and other content you submit. You grant us a limited, non-exclusive license to host, process, reproduce and transform that content only as needed to operate OVALO, provide requested analysis and guidance, maintain security, improve the service as permitted by law and fulfill support requests.

You must have the right to upload the content. Do not upload content that unlawfully identifies or records another person, infringes rights, contains illegal material or exposes confidential information without permission.

您保留所上传训练内容的所有权，并授权我们在提供 OVALO 分析、指导、安全与支持功能所必需的范围内处理该内容。请确保您有权上传相关视频、图片与音频。

4. AI analysis and training guidance

OVALO uses automated systems to analyze movement and generate feedback. Results can be incomplete, uncertain or incorrect because camera angle, lighting, occlusion, network conditions, device quality, movement variation and model limitations affect performance. Treat outputs as training information, not guaranteed facts or professional judgment.

5. Acceptable use

You may not:

• Use OVALO for unlawful, harmful, deceptive, abusive or rights-infringing activity.
• Attempt to gain unauthorized access to accounts, infrastructure, models or non-public data.
• Interfere with service availability, security controls or usage limits.
• Upload malware, malicious instructions or content designed to compromise the service.
• Reverse engineer or extract protected components except where applicable law expressly permits it.
• Use automated access at a scale that burdens the service without our written permission.
• Present AI output as a certified medical, coaching, ranking or safety determination.

6. OVALO materials and feedback

OVALO, Vital Rhythm.AI, our logos, product design, software, models, reports, interfaces and related materials are owned by us or our licensors and are protected by applicable laws. We give you a limited, revocable, personal and non-transferable right to use the service for its intended purpose.

If you send ideas or feedback, you allow us to use them without restriction or payment, provided we do not identify you publicly without permission.

7. Third-party services and device permissions

OVALO may rely on platform features and service providers, including Apple Health, cloud infrastructure, authentication, storage and AI services. Their availability and terms may affect parts of OVALO. You control device permissions through iOS settings and should review any applicable third-party terms.

Membership and Apple purchases

OVALO 1.6 TestFlight and later builds offer Standard and Pro memberships as monthly or annual auto-renewable Apple subscriptions. Older builds may still offer the legacy 30-day non-renewing Standard product. Existing legacy purchases do not become auto-renewing subscriptions automatically; a new subscription requires your confirmation in Apple's purchase sheet.

OVALO 1.6 TestFlight 及后续版本提供标准会员和 Pro 会员的月度／年度 Apple 自动续费订阅。中国大陆参考价：标准会员每月 ¥79 或每年 ¥666；Pro 会员每月 ¥129 或每年 ¥1088。最终商品、金额、币种和付款周期以 Apple 确认页为准。年度方案一次收取全年费用，页面显示的月均价格不是每月扣款金额；年度方案的当月算力额度逐月更新。

An eligible Apple account may receive a seven-day introductory free trial. Unless you cancel through Apple before the applicable trial or billing-period deadline, Apple charges the selected plan after the trial and renews it for the selected period. Eligibility, renewal dates and cancellation deadlines are shown by Apple. Manage or cancel your subscription in Apple subscription settings. Deleting OVALO or your OVALO account does not cancel an Apple subscription.

符合 Apple 优惠资格的账号可使用 7 天首次免费体验；体验结束后，若未按 Apple 显示的截止时间提前取消，将按所选方案收费并自动续订。订阅周期、续订金额、优惠资格及取消截止时间以 Apple 显示为准。您可在 Apple 订阅管理中查看或取消；卸载 App 或注销 OVALO 账号不会替您取消 Apple 订阅。可用功能与分析额度以账号当前生效的权益为准。

Apple's Standard End User License Agreement applies to the app license. Our Privacy Policy explains the handling of training, health and purchase records.

Legacy 30-day non-renewing membership

以下规则适用于旧版标准会员 30 天非续期商品及旧版体验：标准参考价 ¥79，购买后不会自动续费，继续使用需要主动购买下一期。旧版已付期限、历史订单和恢复购买记录继续保留；它们不会因升级 App 自动转换为标准版或 Pro 自动续费订阅。创始内测优惠码仅适用于其对应的旧版商品。

同一 OVALO 账号可开启一次 7 天免费体验，含 1 次初始评估、2 次有效训练视频分析、基础能力档案及建议预览。付费首个周期含 1 次初评，每个 30 天周期含 4 次有效训练视频分析、能力档案更新、训练建议及 1 份月度趋势报告。失败或明确无法有效分析的视频不扣次数；处理中的次数暂留，失败后归还。每期配额重置，不滚存。

创始内测 A 组首期 ¥39、后续 ¥59，B 组每期 ¥59，须通过同一标准商品的对应 Apple 优惠码兑换。创始价最多适用 12 个已支付周期，A 组首期计入上限；已付有效期结束后中断超过 60 天即失去资格。优惠不叠加，只影响下一次购买。每个 Apple offer 每名用户仅可兑换一次，后续周期需新 offer；没有有效优惠码时请确认标准价再购买。

会员绑定购买时的个人 OVALO 账号，不可转让或家庭共享。提前续购的新 30 天周期从既有已付周期结束后开始；恢复购买核对同一 OVALO 账号与 Apple 订单，不重复增加期限或次数。体验或会员到期后保留档案，仍可查看、导出或申请删除。系统通知需要您的允许；您可在个人页设置训练提醒和到期前 3 天、1 天提醒。

Apple handles payment information. For Apple purchase refunds, use Apple's refund request service. OVALO cannot approve an Apple refund. A verified refund or revocation adjusts or revokes the corresponding entitlement according to Apple’s signed transaction. Contact support for missing entitlements, failed analyses or purchase recovery.

Apple 负责支付信息与退款申请；OVALO 不收集银行卡资料，也不能自行批准 Apple 退款。已核实退款或撤销将按 Apple 签名交易调整或撤销对应权益。平台故障请联系支持，我们核对订单与实际分析结果后提供重试、补偿处理或 Apple 退款申请路径。

8. Product changes, beta features and availability

We may add, modify, pause or remove features as the product evolves. Beta, preview or research features may be less reliable and can change without notice. We do not guarantee uninterrupted availability, compatibility with every device or preservation of every temporary output. We will make reasonable efforts to maintain the service and communicate material changes where appropriate.

9. Suspension and termination

You may stop using OVALO at any time and may request account deletion as described in our Privacy Policy. We may suspend or terminate access if reasonably necessary to address security, legal, abuse, nonpayment or material breach concerns. Where practical and lawful, we will provide notice and a chance to resolve the issue.

10. Disclaimers and responsibility

To the maximum extent allowed by applicable law, OVALO is provided on an "as available" basis without warranties that every analysis, recommendation or feature will be accurate, complete, uninterrupted or suitable for a particular result. Nothing in these terms excludes rights or responsibilities that cannot lawfully be excluded.

You remain responsible for exercise choices, training environment, equipment, supervision and decisions based on product output. Use appropriate space and equipment, follow venue rules and seek qualified guidance when needed.

11. Changes and applicable law

We may update these terms to reflect product, legal or operational changes. The revised version will be posted here with an updated effective date. These terms are governed by applicable laws. Any mandatory consumer rights in your place of residence remain unaffected.
